In these terms and conditions:
a.'Customer' means any person, company, organisation or firm which purchases Services from us;
b. 'Candidate' means a person who uses this site for the purpose of finding employment;
c. 'Service Order' means an order for Services on a form provided by us (in any format) and signed or submitted by a Customer;
d. 'Services' means all recruitment products and services made available by us from time to time;
e. 'Listing Month' means, in respect of any Service Order relating to the provision of Services for a specified period of months, the calendar month commencing on the start date specified in the Service Order and ending on the day before the same date in the next calendar month. For example, the calendar month commencing on 24 February and ending 23 March;
f. 'Contract Term' means the full term specified in the Service Order.
g. Advertising Listing' means any job listing or agency listing provided on on this site on completion of a Service Order.
2. We will not commence the provision of Services pursuant to any Service Order until the Service Order has been returned to us, in a form approved by us and signed by the Customer.
3. Prices are guaranteed for the period stated on the Service Order. Prices are confidential and may not be disclosed by the Customer.
4. An Advertising Listing posted on www.agency-seeker.co.uk will remain live for the length of time agreed with the Customer.
5. If any Services to be used within any time period specified on the Service Order are not used within that period of time they may not be carried over into any subsequent period without our prior written consent. The Customer will be responsible for payment for any unused Services. Over posts of agreed package's will be charged at a cost of £2.50 per advertisement and invoiced at the end of each month.
6. All prices exclude VAT. All invoices are payable within 28 days from invoice date. Late payment will entitle us to suspend the provision of Services. Interest will be payable on late payments at the rate of 3% above National Westminster Bank plc's base rate from time to time.
7. The Customer may terminate the provision of Services during the contract but is liable for the full payment of the contract, payable immediately upon termination.
8. We may terminate the provision of Services if:
i. the Customer becomes insolvent, ceases to trade or goes into liquidation.
ii. the Customer is in material breach of these terms and conditions and has not remedied such breach within ten days of notice specifying the breach and requiring that it be remedied, or:
9. Agency Seeker.com Ltd does not verify or guarantee any Candidate's details whether forwarded to the Customer via Agency Seeker.com Ltd or otherwise. Agency Seeker.com Ltd accepts no responsibility as to the suitability of Applicants who respond to an Advertising Listing.
10. The Customer shall satisfy itself as to the suitability of any Candidate and shall take up any reference provided by the Candidate before engaging any such Candidate.
11. The Customer shall be responsible for obtaining work, or any other permits, for the arrangements of medical examinations and/or investigations into medical history of any Candidate, and shall satisfy itself of any medical or other requirements or qualifications required by law.

Agency Seeker.com Ltd does not accept liability of any description, including liability for negligence (except for personal injury or death), or any damages or losses (including, but without limitation to indirect or consequential loss, or loss of business, revenue, profits, use or opportunity) howsoever resulting from the Customer's use of (or inability to use) this Site.
13. Agency Seeker.com Ltd makes no warranty that this Site (or any website that is, or may become linked to this website) is free from computer viruses, "cookies", or any other malicious or impairing computer programmes and/or that the Site shall operate uninterrupted and error-free.

Contact the individuals on the database or make or allow any use of the information about those individuals, other than for the purpose of finding suitable candidates for specific job vacancies or to contact a recruitment agency or employer in relation to a listing on the website. You must, at all times, comply with the Data Protection Act 1998 and all subsequent legislation and regulations.
4. You agree to delete all material from the database upon its replacement with up-to-date material or the satisfactory conclusion of your search for a suitable agency or candidate, whichever occurs first.

Please do not tell other people your log in, password or any other piece of information that is part of our security procedures. We take steps to prevent people misusing the website and to make sure that our rights are not affected.

By ordering one of our Advertising Listings you accept these terms and conditions as principal, even if you are acting as agent or buyer for the actual advertiser.
2. You are responsible for the content of the Advertising Listings and for ensuring that it complies with all relevant legislation and codes of practice. If we receive complaints about the content or the Advertising Listings we may, at our discretion, remove the Advertising Listings from display without prior consent, notice or liability to you.
3. You will indemnify us against any claim that the Advertising Listings or its content infringes the intellectual property rights or other rights of others or is defamatory or otherwise offensive. If you are an employment agency or an employment business (as defined by the Employment Agencies Act 1973) it is your responsibility to ensure the advertisements you place on this site comply with the Conduct of Employment Agencies and Employment Businesses Regulations 2003.
4. You are also responsible for fulfilling and dealing with any orders or enquiries relating to the goods or services to which the Advertising Listings relates and you will indemnify and hold us harmless accordingly.
Where a Advertising Listings is sold on a cpm basis, we will provide you with a password to enable you to monitor the number of impressions served in lieu of any other right of audit. You will not use the password, or the system to which it gives you access, for any other purpose.

Your sole remedy if we, or our third party subcontractors who may host and serve Campaigns from time to time, make an error in displaying any Advertising Listings is the cost of re-running the relevant Advertising Listings. Neither we nor our subcontractors shall be liable in any circumstances for any loss of profit or business. We shall, additionally, have no liability for failure to display the Advertising Listings caused by circumstances outside our control.
